Binding agreement and waiver of class action and jury trial These Terms of Service, together with the Sing My Birthday Privacy Policy, Cookie Policy, any promotion rules, any venue agreement, and any other policy or schedule referenced here, form a legally binding agreement between you and glomotec, Inc. (“glomotec,” “Sing My Birthday,” “we,” “us,” or “our”).

By accessing or using singmybirthday.com, creating an account, generating a song, entering a raffle, purchasing a song, purchasing a video bundle, subscribing to a venue plan, or otherwise interacting with the service, you agree to these Terms.

Section 25 contains a mandatory arbitration clause and class action waiver where permitted by law. Please read it carefully. You may opt out of arbitration within thirty (30) days of first accepting these Terms by following the procedure in Section 25.4.

If you do not agree to these Terms, do not access or use Sing My Birthday.

1. Parties and defined terms These Terms are entered into between you and glomotec, Inc., a corporation incorporated in the State of Delaware, United States of America, with registered office at 131 Continental Drive, Suite 305, Newark, DE 19713, United States.

“Sing My Birthday” means the website, application, account system, song and video generation tools, venue tools, data-capture features, promotional campaigns, and related services operated by or on behalf of glomotec, Inc. under the Sing My Birthday brand.

“Account” means the profile or credentials created by a user to access features of the service.

“User,” “you,” or “your” means any person or entity that accesses or uses Sing My Birthday, including consumer users, venue users, business customers, account holders, and authorised representatives.

“Recipient” means the person for whom a song, preview, video, message, or birthday-related content is generated.

“Child Recipient” means a recipient under the age of thirteen (13), or under any higher age threshold that applies under local law.

“User Content” means any name, birthday, prompt, memory, relationship detail, image, preference, text, audio, video, logo, brand asset, testimonial, or other material you submit.

“Generated Output” means any AI-generated or system-generated lyrics, song, audio, video, preview, cover image, message, link, QR page, or other output produced through Sing My Birthday.

“Venue” means a restaurant, hotel, event space, office, school, club, party venue, entertainment venue, or other business customer that uses Sing My Birthday for recurring or commercial birthday experiences.

“Promotion” means any raffle, giveaway, voucher, discount, prize mechanic, referral campaign, or gifting mechanic operated by or through Sing My Birthday.

2. Acceptance and account formation You accept these Terms by accessing the service, clicking an acceptance button or checkbox, creating an account, submitting information, generating a preview, placing an order, entering a promotion, or subscribing to a venue plan.

If you use Sing My Birthday on behalf of a company, venue, school, office, organisation, or other legal entity, you represent that you have authority to bind that entity to these Terms and any applicable venue agreement.

These Terms supersede prior or contemporaneous communications between you and glomotec regarding Sing My Birthday, except where a separate written agreement signed by glomotec expressly controls a specific matter.

3. The service Sing My Birthday allows users to create birthday-themed songs and related media using names, languages, styles, personal details, and other inputs. The service may include free previews, paid full songs, paid video bundles, share pages, downloadable files, account features, venue subscription tools, raffles, reminders, and related products.

The service may change over time. We may add, remove, test, price, suspend, or modify features at any time, including free features, paid features, pricing tiers, availability, supported languages, generation providers, and delivery methods.

Sing My Birthday is not a professional music studio, legal service, tax service, child-care service, or event- management service. The service is provided for personal, entertainment, gifting, promotional, and venue- experience purposes only, subject to these Terms.

3.1 Provider, glomotec Labs, and entity migration

Sing My Birthday is an engineering product developed and operated by glomotec Labs, the venture-incubation arm of glomotec, Inc. Sing My Birthday is separate and distinct from glomotec, Inc.'s primary lines of business and does not represent or operate on behalf of those lines of business.

During the incubation period, glomotec, Inc. serves as the issuing entity, contracting party, and operator of record for Sing My Birthday under these Terms. References to glomotec, Sing My Birthday, "we," "us," and "our" in these Terms include glomotec, Inc. in this issuing-entity capacity.

We may, at our discretion and at the conclusion of the incubation period, migrate the Sing My Birthday business, brand, contracts, accounts, data, and Terms of Service to a separate legal entity established for that purpose. If we do, we will provide users with reasonable advance notice by email, in-product notice, posting on singmybirthday.com, or other reasonable method. The migration will not materially reduce user rights under these Terms, and continued use of Sing My Birthday following the migration constitutes acceptance of the new entity as the contracting party.

The address, governing law, and dispute resolution provisions in these Terms refer to the entity that is the current contracting party at the time the matter arises.

4. Eligibility, age, and child-recipient rules You must be at least eighteen (18) years old, or the age of majority in your jurisdiction if higher, to create an account, purchase a product, enter a promotion, or use a paid service.

Children under thirteen (13) are not permitted to create accounts, make purchases, enter promotions, or use Sing My Birthday directly. If you create a song for a Child Recipient, you represent that you are the child’s parent or legal guardian, or that you have obtained permission from the child’s parent or legal guardian.

Where applicable law requires parental consent for the collection, use, or disclosure of information related to a child, you agree to provide that consent only if you have the legal authority to do so. We may require additional verification, limit features, refuse processing, or delete data where child-related consent is unclear.

Where required by law or by our compliance settings, we may require verifiable parental consent before collecting, using, or disclosing information relating to a Child Recipient. Verification methods may include email confirmation combined with a payment-card check, identity verification, signed consent form, knowledge-based authentication, or another legally accepted mechanism. A simple checkbox may not be sufficient where verifiable parental consent is legally required.

You may not submit a child’s school, home address, precise location, health information, sensitive personal information, or other unnecessary identifying information. We may remove or refuse to process child-related content at our discretion.

We do not knowingly market directly to children. Marketing to adults, parents, guardians, venues, and account holders may occur as described in the Privacy Policy and subject to applicable consent choices.

5. Accounts, security, and verification Some features require an account. You agree to provide accurate, current, and complete information and to update it when necessary.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@singmybirthday.com if you suspect unauthorised access.

We may require verification for fraud prevention, payment security, venue onboarding, parental consent, raffles, account recovery, or compliance purposes.

We may suspend, restrict, or terminate accounts where we reasonably believe there is fraud, misuse, infringement, harmful conduct, failed payment, breach of these Terms, legal risk, or risk to users, children, venues, partners, or the service.

6. Pricing, payments, subscriptions, trials, and refunds Sing My Birthday may offer free previews, paid songs, paid video bundles, venue subscriptions, per-event pricing, trials, annual plans, discounts, founding rates, regional pricing, and promotional offers.

Pricing may vary by country, currency, purchasing-power tier, offer, channel, promotion, venue plan, and billing country. We may use geographic, billing, and checkout information to display localised pricing and to prevent abuse of regional pricing.

Payments are processed by Stripe or another third-party payment provider. Payment-provider terms and privacy policies apply in addition to these Terms.

For consumer purchases, payment is due before delivery of the full paid output unless otherwise stated. For venue subscriptions, billing terms, renewal, usage limits, cancellation, failed payment handling, and plan scope may be set out in the venue agreement or checkout terms.

Trials with a card on file may automatically convert to a paid plan unless cancelled before the trial ends, where permitted by law and clearly disclosed at checkout.

Refunds are generally available where we fail to deliver the paid product due to an error within our control and cannot reasonably correct or regenerate it. Refunds are not guaranteed for dissatisfaction with style, subjective preference, user mistakes, misspellings, incorrect recipient details, or content submitted in violation of these Terms, but we may offer regeneration, credit, or refund at our discretion.

Venue subscriptions may be cancelled according to the applicable venue agreement or checkout terms. Fees already paid may be non-refundable except where required by law or expressly stated in the agreement.

You are responsible for taxes, duties, currency conversion, payment-provider fees, and any charges imposed by your bank or payment method.

7. Free previews, data capture, reminders, and marketing Free previews, free songs, raffles, reminders, vouchers, and similar features are provided partly to help users experience the service and partly to help us learn, improve, and build Sing My Birthday’s data engine.

When you use free or paid features, we may collect information such as email address, account details, recipient first name, birthday or birthday month/day, country, language, music style, relationship to recipient, occasion type, delivery date, interaction events, time spent on screen, generation events, playback events, share/download events, purchase events, referral source, device information, approximate location, preferences, and consent choices.

Subject to applicable law and your consent choices where required, we may use, retain, share, license, and otherwise exploit this information for any purpose related to the operation, monetisation, security, and improvement of Sing My Birthday and the businesses of glomotec, Inc. and its affiliates, successors, and assigns, including but not limited to: delivering songs, videos, and birthday content; sending transactional, reminder, marketing, and promotional communications; running raffles, giveaways, vouchers, and gifting mechanics; personalising experiences and recommendations; measuring conversion, retention, and pricing performance; building partnerships, integrations, and B2B distribution; conducting analytics, research, and benchmarking; training, improving, and fine-tuning AI models, including third-party models we license from providers; creating anonymised, aggregated, derivative, or synthetic datasets; and licensing or transferring such data to affiliates, service providers, partners, advertisers, acquirers, and successors. We retain these rights in perpetuity for anonymised and aggregated data, and for the lifetime of the data subject's relationship with us for personal data, except where deletion is required by applicable law or by your verified rights request.

Marketing emails, reminders, partner offers, and promotional messages may require separate consent depending on your location. You can unsubscribe from marketing communications using the link in our emails or by contacting support@singmybirthday.com. Transactional and service emails may still be sent where necessary.

8. User content and licence to Sing My Birthday As between you and glomotec, you retain ownership of User Content you submit, subject to the licences granted in these Terms.

You represent that you have all rights, permissions, and consents necessary to submit User Content and to allow us and our providers to process it. You must not submit content that violates privacy, publicity, copyright, trademark, trade secret, contract, child-safety, or other rights.

By submitting User Content, you grant glomotec, Inc., its affiliates, service providers, processors, successors, and assignees an irrevocable, perpetual, worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, reproduce, process, adapt, modify, create derivative works from, analyse, transmit, display, distribute, publicly perform, train AI models on, commercialise, and otherwise use the User Content for any purpose related to the operation, monetisation, improvement, marketing, security, and provision of Sing My Birthday and the businesses of glomotec, Inc. and its affiliates, subject only to mandatory data-protection laws and the consents you have provided.

Where User Content includes personal information, our use is also subject to the Privacy Policy and applicable data-protection law.

If you submit feedback, suggestions, ideas, improvements, or recommendations, you grant us the right to use them without restriction, compensation, or obligation to you.

9. Generated output, user rights, and restrictions As between you and glomotec, glomotec, Inc. owns all right, title, and interest in and to Generated Output produced through Sing My Birthday, including any underlying models, prompts, templates, arrangements, audio, video, lyrics, and components. glomotec, Inc. retains the perpetual, worldwide, irrevocable right to use, reproduce, modify, license, distribute, publicly perform, train AI models on, commercialise, and otherwise exploit Generated Output and its components for any purpose, including marketing, content library expansion, partnership distribution, and AI training. The licence granted to you in the following paragraphs is the sole right you receive in Generated Output.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non- exclusive, non-transferable licence to use Generated Output for personal gifting, sharing, and non-commercial purposes.

Paid consumer downloads may be used by the purchasing account holder for personal sharing with family, friends, and the recipient. Venue or commercial use requires a venue subscription or written agreement.

Generated Output may not be unique. Similar or identical outputs may be generated for other users, especially for common names, styles, melodies, templates, or public-domain foundations.

You are responsible for reviewing Generated Output before sharing it publicly or using it in a venue, event, or commercial setting. We may regenerate, modify, remove, refuse, or restrict outputs that we believe create legal, safety, privacy, quality, child-data, or reputational risk.

You may not resell, license, distribute commercially, use in advertising, use as a paid public performance, mint as an NFT, train an AI model on, or incorporate Generated Output into another commercial product unless expressly permitted by a venue plan or written agreement.

You may not use Sing My Birthday to imitate a specific living artist, celebrity, private person, child, or public figure, or to create voice clones, deepfakes, misleading endorsements, political persuasion, harmful impersonations, or content that violates third-party rights.

10. Promotional use, testimonials, and venue logos We may ask for permission to feature a song, video, testimonial, story, venue logo, case study, screenshot, event clip, or other output in promotional material.

We will not publicly use personal song outputs, child-related content, private memories, names, images, voice, venue customer footage, or testimonials in promotional material without additional permission from the account holder, venue, or parent/legal guardian where required.

If you provide permission, you grant glomotec a worldwide, royalty-free licence to use the approved material in websites, social media, advertising, decks, investor updates, case studies, and other promotional or business materials, subject to any written limits we agree with you.

11. Raffles, giveaways, vouchers, and gifting mechanics Sing My Birthday may offer raffles, giveaways, vouchers, discounts, referral rewards, birthday reminders, family gifting mechanics, venue partner perks, and other promotions.

Sing My Birthday raffles, giveaways, competitions, and similar promotional mechanics are conducted occasionally and not as a continuous feature of the service. Prizes are limited to vouchers, credits, digital goods, branded merchandise, partner perks, and similar non-cash prizes with a monetary value not exceeding USD $1,000 (or local-currency equivalent) per prize. Cash prizes are not offered through Sing My Birthday promotional mechanics. Where local law requires reporting, registration, or licensing of prize promotions, Sing My Birthday will operate only in jurisdictions where it can comply, or will exclude entries from those jurisdictions as set out in the applicable promotion rules.

Promotions may be subject to separate official rules, eligibility criteria, age limits, geographic limits, entry methods, prize descriptions, deadlines, odds, and tax obligations. If separate promotion rules conflict with these Terms, the promotion rules control for that promotion.

No purchase is required to enter a promotion where required by law. We may refuse, disqualify, or remove entries that are fraudulent, automated, incomplete, ineligible, abusive, or inconsistent with the promotion rules.

We may use information submitted for promotions to administer the promotion, verify eligibility, contact winners, deliver prizes or vouchers, prevent fraud, improve promotion mechanics, and send related offers where permitted by law and your consent choices.

12. Venue and business use Venues and business customers may use Sing My Birthday only under an active venue plan, subscription, payment link, trial, or written venue agreement.

A venue is responsible for how Sing My Birthday is used in its premises, events, customer communications, QR codes, branded pages, staff workflows, recordings, public playback, and guest experiences.

A venue must obtain any permissions required from guests, parents, guardians, staff, performers, photographers, videographers, or customers before submitting information or publicly playing, recording, filming, or sharing a generated song.

Venue plans may include usage limits, branding limits, white-label add-ons, support levels, plan caps, multi- location discounts, trial periods, renewal terms, failed-payment terms, cancellation windows, and other commercial terms set out separately.

Venue accounts may not resell Sing My Birthday as a standalone product, operate as a competing service, remove branding, or use the platform outside the plan scope unless we agree in writing.

13. Acceptable use policy You agree to use Sing My Birthday lawfully, ethically, and only for its intended purposes.

• submit accurate, complete, current, and lawful information;

• respect the rights, privacy, dignity, and safety of every user, recipient, child, parent, venue, partner, and third party;

• obtain all permissions required for names, birthdays, memories, venue logos, customer footage, images, voice, testimonials, and other content;

• comply with payment, subscription, promotion, child-data, privacy, intellectual-property, and anti-fraud requirements; and

• cooperate with reasonable requests relating to support, verification, compliance, fraud prevention, or safety.

14. Prohibited conduct You must not, and must not permit or encourage anyone else to:

• submit unlawful, infringing, defamatory, hateful, harassing, abusive, exploitative, sexualised, deceptive, fraudulent, or harmful content;

• submit sensitive child information, precise child location, school details, health information, or other unnecessary identifying information;

• impersonate any person, celebrity, artist, child, venue, brand, or entity, or falsely imply endorsement or sponsorship;

• request or create voice cloning, deepfake, artist-style imitation, or misleading audio/video content without rights and consent;

• upload copyrighted recordings, melodies, lyrics, images, or other content unless you have rights to do so;

• use the service to train, benchmark, copy, scrape, reverse engineer, or build a competing AI music, greeting, or celebration-content service;

• interfere with security, rate limits, billing, payments, fraud controls, access controls, cookies, consent mechanisms, or technical systems;

• use bots, scrapers, automated sign-ups, fake accounts, VPN abuse, regional-pricing abuse, chargeback abuse, or other manipulative conduct;

• market directly to children or collect child data without required parent/guardian consent; or

• attempt, assist, induce, or conspire to do any of the above.

15. AI-generated output and third-party providers Sing My Birthday uses artificial intelligence, automation, and third-party providers to generate lyrics, audio, video, images, emails, analytics, storage, payments, hosting, and other service components.

Generated Output may contain errors, omissions, inaccurate pronunciation, hallucinated details, offensive or unexpected language, style mismatch, latency, failed generation, repeated content, or technical defects. You should review all outputs before relying on, publishing, sharing, or publicly playing them.

We may use providers such as Stripe, Supabase, Resend, Google Analytics or similar analytics tools, Meta/TikTok advertising tools, Vercel, Cloudflare, Anthropic, fal.ai, Suno or other music-generation providers, storage providers, email providers, and fraud/security tools. Provider availability and provider terms may change.

Third-party services are not owned or controlled by glomotec. We are not responsible for third-party service outages, changes, pricing, terms, privacy practices, model behaviour, or content policies, except where required by law.

16. Privacy, data protection, and cookies Our collection and use of personal information is described in the Sing My Birthday Privacy Policy. Our use of cookies and similar technologies is described in the Cookie Policy and cookie preference tool where available.

We may use cookies, pixels, local storage, SDKs, server logs, device identifiers, analytics events, advertising tags, and similar technologies for security, authentication, checkout, fraud prevention, preferences, analytics, conversion measurement, advertising, remarketing, and product improvement.

Where consent is required, non-essential analytics and marketing cookies will be subject to the cookie banner or equivalent preference tool. You may withdraw or change cookie preferences as described in the Privacy Policy or Cookie Policy.

We may create anonymised or aggregated data that does not identify you or the recipient. We may use and share such data for analytics, reporting, investor updates, partnerships, product improvement, market research, and business planning.

We may retain account, order, generated-output, interaction, birthday, venue, and consent data indefinitely unless deleted, except where a shorter period is required by applicable law, our child-data rules, or legally applicable data-minimisation or purpose-limitation requirements. Specific retention periods, including account, tax, marketing, anonymised aggregate, and child-related data retention, are described in the Privacy Policy. You may request deletion as described in the Privacy Policy.

17. Intellectual property and public-domain foundations The service, software, source code, website, designs, workflows, prompts, templates, databases, brand, trademarks, logos, domain names, user interfaces, models, data structures, content library, and business methods are owned by glomotec or its licensors and are protected by intellectual-property laws.

Sing My Birthday may use public-domain foundations, commissioned works, original arrangements, licensed tools, AI-generated elements, and proprietary personalisation layers. You may not copy, extract, republish, or commercially exploit the service or content library except as permitted by these Terms.

Public-domain status can vary by jurisdiction and by type of work. A public-domain song is not the same as a public-domain recording. You may not upload or request copying of protected recordings, melodies, lyrics, arrangements, artist performances, or brand assets without rights.

No rights are granted to use the Sing My Birthday name, glomotec name, logos, trademarks, trade dress, screenshots, interface, or branding except as expressly authorised.

18. Copyright and infringement notices If you believe content on Sing My Birthday infringes your copyright, you may send a notice to support@singmybirthday.com with information sufficient to identify the content, your ownership or authority, your contact details, a statement of good-faith belief, and any other information required by applicable law.

We may remove, restrict, or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.

19. Availability, support, delivery, and beta features Sing My Birthday may be unavailable, delayed, interrupted, or degraded due to maintenance, provider outages, rate limits, generation failures, internet issues, payments, safety checks, or other events.

Delivery times are estimates. Some songs or videos may take longer to generate or may require regeneration. We may use email, account pages, links, downloads, or other methods to deliver output.

Features may be experimental, in beta, or limited by market, country, user type, or plan. We may change or discontinue beta features at any time.

20. Disclaimers To the maximum extent permitted by law, Sing My Birthday is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

We do not warrant that the service will be uninterrupted, error-free, secure, accurate, unique, available in every country, compatible with every device, free of offensive output, or fit for any particular use.

We do not guarantee sales results, venue customer reactions, marketing performance, search ranking, social reach, raffle results, content discovery, or any particular business outcome.

21. Limitation of liability To the maximum extent permitted by law, glomotec, its affiliates, officers, directors, employees, contractors, service providers, licensors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, reputation, revenue, business, or opportunity.

To the maximum extent permitted by law, glomotec’s aggregate liability arising out of or relating to Sing My Birthday or these Terms will not exceed the greater of: (a) the amount you paid to Sing My Birthday in the twelve (12) months before the event giving rise to the claim; or (b) USD 100.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations apply to the maximum extent permitted by law.

22. Indemnity You agree to defend, indemnify, and hold harmless glomotec, its affiliates, officers, directors, employees, contractors, service providers, licensors, and partners from and against claims, damages, losses, liabilities, costs, and expenses arising from: (a) your use of the service; (b) your User Content; (c) your Generated Output use; (d) your breach of these Terms; (e) your violation of law or third-party rights; (f) your venue, business, or

commercial use; or (g) your failure to obtain required consents, including parental, venue, guest, copyright, publicity, or privacy consent.

23. Suspension and termination We may suspend, restrict, or terminate access to Sing My Birthday at any time if we believe you violated these Terms, created risk, failed to pay, submitted harmful or infringing content, misused child data, abused regional pricing, caused chargebacks or fraud risk, or if required by law or provider rules.

You may stop using the service at any time. Certain provisions, including intellectual property, licences, payment obligations, disclaimers, limitation of liability, indemnity, dispute resolution, and data provisions, survive termination.

24. Changes to the service and Terms We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms, sending email, in-product notice, or other reasonable method.

Your continued use of Sing My Birthday after the effective date of updated Terms constitutes acceptance of the updated Terms, except where law requires additional consent.

25. Dispute resolution, arbitration, class waiver, and opt-out Before filing a claim, you agree to contact support@singmybirthday.com and attempt to resolve the dispute informally for at least thirty (30) days.

To the maximum extent permitted by law, disputes arising out of or relating to these Terms or Sing My Birthday will be resolved by binding individual arbitration, not in court, except for claims that may be brought in small claims court or claims seeking injunctive relief for intellectual-property misuse, security abuse, or unauthorised access.

You and glomotec waive the right to a jury trial and the right to participate in a class, collective, consolidated, or representative action, to the maximum extent permitted by law.

You may opt out of arbitration by sending written notice to support@singmybirthday.com within thirty (30) days after you first accept these Terms. The notice must include your name, account email, and a clear statement that you opt out of arbitration for Sing My Birthday.

Where consumer-protection law in your jurisdiction gives you non-waivable rights, those rights are preserved.

26. Governing law and venue These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of- law rules, except where mandatory local consumer-protection laws require otherwise.

Subject to Section 25, courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms, unless applicable law requires a different forum.

27. Regional consumer and privacy rights Users in the European Union, United Kingdom, United Arab Emirates, California, and other jurisdictions may have additional mandatory rights under local consumer, privacy, electronic communications, cookie, cancellation, marketing, or data-protection laws.

The Privacy Policy will set out the applicable legal bases, retention periods, rights request process, transfer mechanisms, California opt-out rights, and child-data handling required by applicable privacy laws. These rights are not waived by these Terms.

Nothing in these Terms limits rights that cannot legally be waived. Where a provision conflicts with mandatory law, that provision applies only to the maximum extent permitted and the rest of these Terms remain in effect.
